These Terms of Service ("Terms") form a binding agreement between you and BlackX Technologies Inc., the entity operating the Black X platform ("Black X," "we," "our," or "us"). By accessing or using blackx.app, you agree to these Terms. If you do not agree, do not use the Platform.

2. Description of Services

Black X provides:

• •Negotiation support (Black X Negotiate™)
• •Creator-brand partnership standards (Black X Verified™)
• •Informational insights related to creator partnerships

3. No Legal or Financial Advice

All content and insights provided by Black X are for informational purposes only.

Black X does not provide:

• •Legal advice
• •Financial advice
• •Contract approval or certification

Users are responsible for consulting qualified professionals when necessary.

4. User Responsibilities

You agree to:

• •Provide accurate information
• •Upload only content you have the right to use
• •Use the Platform lawfully
• •Not misuse or attempt to exploit Black X systems

You remain fully responsible for decisions made using Black X insights.

5. Intellectual Property

All Black X content, software, trademarks, and standards — including Black X Clarity Score, Black X Negotiate™, and Black X Verified™ — are owned by BlackX Technologies Inc.

You may not:

• •Copy, resell, or redistribute Black X intellectual property
• •Use Black X branding without authorization
• •Misrepresent affiliation with Black X

6. Black X Verified™ Disclaimer

Black X Verified™:

• •Is a voluntary alignment standard
• •Is not a legal certification or endorsement
• •Does not guarantee outcomes or deal performance

Unauthorized use or misrepresentation of the Black X Verified™ mark is prohibited.

7. Payments, Subscriptions & Merchant of Record

Our order process is conducted by our online reseller Paddle.com Market Limited. Paddle is the Merchant of Record for all our orders, handling payment, billing, tax, returns, and refunds.

• •Subscription fees are billed in advance on a recurring basis
• •Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms (paddle.com/legal/checkout-buyer-terms)
• •Refund requests are handled by Paddle in accordance with our Refund Policy
• •Pricing may change with prior notice
• •Failure to pay may result in suspension or termination of access

8. Termination

Black X may suspend or terminate access if:

• •These Terms are violated
• •Fraudulent or abusive behavior is detected
• •Required by law or security concerns

Users may discontinue use at any time.

9. Limitation of Liability

To the maximum extent permitted by law:

• •Black X is not liable for indirect or consequential damages
• •Black X is not responsible for decisions made based on platform insights
• •Use of the Platform is at your own risk

10. Indemnification

You agree to indemnify and hold harmless Black X from claims arising from:

• •Your use of the Platform
• •Uploaded content
• •Violation of these Terms

11. Governing Law

These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law principles.

12. Changes to Terms

We may update these Terms periodically. Continued use after changes constitutes acceptance.
