The UGC Contract Template content creators actually need.

A six-section UGC agreement for content-only deals — no posting on your channels required. Covers raw vs. edited deliverables, license windows, whitelisting fees, and ownership in plain language.

No credit card. Free to use this template — not legal advice.

What every UGC contract must include

UGC ≠ influencer. The brand uses the content; you produce it. These six sections keep that boundary crisp.

    1. Deliverables: raw, edited, formats

Specify number of videos/photos, runtime, aspect ratios (9:16, 1:1, 4:5), raw footage vs. delivered edits, and number of hooks/variations per concept.

    2. Usage rights window

Default 6-month organic usage. Anything beyond — paid ads, OOH, perpetual — should carry a separate, itemized fee. Never grant 'all media in perpetuity' without an uplift.

    3. Whitelisting & paid amplification

If the brand runs your handle as an ad (Spark/Partnership Ads, Meta whitelisting), that's a separate license. Charge 25–100% on top of the base fee depending on spend.

    4. Revision rounds & approvals

Cap at two rounds. Define what 'approved' looks like (written sign-off). Anything beyond round two is billed at an hourly or per-edit rate.

    5. Exclusivity (rare in UGC)

Most UGC deals shouldn't have exclusivity. If the brand insists, scope it tightly (direct competitor list, 30–60 days max) and charge for it.

    6. Ownership & moral rights

Clarify ownership transfer on final payment, your right to use the work in your portfolio, and that you keep moral rights (no defamatory edits or repurposing).

Before you sign: 7-point UGC checklist

    • Deliverables list specifies count, format, aspect ratio, and revision rounds
    • Usage window is bounded (months/years), not 'perpetual'
    • Whitelisting and paid amplification are priced separately, not bundled
    • Payment is 50% upfront, balance NET-15 after final delivery
    • Portfolio rights are explicitly preserved for the creator
    • Brand cannot resell, sublicense, or transfer the content to third parties
    • Termination/kill fee covers at least concept fees if cancelled mid-production

UGC pays well — until usage rights eat your margin.

Upload any UGC contract or scope-of-work. Black X Clarity Score flags every clause that grants more usage than you're being paid for.

    Frequently asked questions

What's the difference between UGC and influencer contracts?+

UGC contracts are for content-only deals — the brand uses your videos on their channels. Influencer contracts require you to post on your own account, where audience size and engagement become part of the value.

How long should a UGC usage window be?+

Industry default is 6 months of organic usage. Paid amplification is a separate license, and perpetual rights should carry a significant uplift — often 2–3× the base fee.

Should I include exclusivity in a UGC deal?+

Usually no. UGC creators typically work with many brands across many categories. If a brand asks for exclusivity, narrow it to direct competitors and 30–60 days, and price it accordingly.

    Is this UGC template free?+

Yes. The template structure on this page is free. The Black X platform adds a Clarity Score that grades any contract you upload and flags overreaching usage clauses automatically.
